BAB IV CARA MENGHITUNG PAJAK

Pasal 18 (UU No. 7 Tahun 2021)


(1) Menteri Keuangan berwenang mengatur batasan jumlah biaya pinjaman yang dapat dibebankan untuk keperluan penghitungan pajak berdasarkan UndangUndang ini.
(2) Menteri Keuangan berwenang menetapkan saat diperolehnya dividen oleh Wajib Pajak dalam negeri atas penyertaan modal pada badan usaha di luar negeri selain badan usaha yang menjual sahamnya di bursa efek, dengan ketentuan sebagai berikut :
a. besarnya penyertaan modal Wajib Pajak dalam negeri tersebut paling rendah 50% (lima puluh persen) dari jumlah saham yang disetor; atau
b. secara bersama-sama dengan Wajib Pajak dalam negeri lainnya memiliki penyertaan modal paling rendah 50% (lima puluh persen) dari jumlah saham yang disetor.
(3) Direktur Jenderal Pajak berwenang untuk menentukan kembali besarnya penghasilan dan pengurangan serta menentukan utang sebagai modal untuk menghitung besarnya Penghasilan Kena Pajak bagi Wajib Pajak yang mempunyai hubungan istimewa dengan Wajib Pajak lainnya sesuai dengan kewajaran dan kelaziman usaha yang tidak dipengaruhi oleh hubungan istimewa dengan menggunakan metode perbandingan harga antara pihak yang independen, metode harga penjualan kembali, metode biaya-plus, atau metode lainnya.
(3a) Direktur Jenderal Pajak berwenang melakukan perjanjian dengan Wajib Pajak dan bekerja sama dengan pihak otoritas pajak negara lain untuk menentukan harga transaksi antar pihak-pihak yang mempunyai hubungan istimewa sebagaimana dimaksud dalam ayat (4), yang berlaku selama suatu periode tertentu dan mengawasi pelaksanaannya serta melakukan renegosiasi setelah periode tertentu tersebut berakhir.
(3b) Wajib Pajak yang melakukan pembelian saham atau aktiva perusahaan melalui pihak lain atau badan yang dibentuk untuk maksud demikian (special purpose company), dapat ditetapkan sebagai pihak yang sebenarnya melakukan pembelian tersebut sepanjang Wajib Pajak yang bersangkutan mempunyai hubungan istimewa dengan pihak lain atau badan tersebut dan terdapat ketidakwajaran penetapan harga.
(3c) Penjualan atau pengalihan saham perusahaan antara (conduit company atau special purpose company) yang didirikan atau bertempat kedudukan di negara yang memberikan perlindungan pajak (tax haven country) yang mempunyai hubungan istimewa dengan badan yang didirikan atau bertempat kedudukan di Indonesia atau bentuk usaha tetap di Indonesia dapat ditetapkan sebagai penjualan atau pengalihan saham badan yang didirikan atau bertempat kedudukan di Indonesia atau bentuk usaha tetap di Indonesia.
(3d) Besarnya penghasilan yang diperoleh Wajib Pajak orang pribadi dalam negeri dari pemberi kerja yang memiliki hubungan istimewa dengan perusahaan lain yang tidak didirikan dan tidak bertempat kedudukan di Indonesia dapat ditentukan kembali, dalam hal pemberi kerja mengalihkan seluruh atau sebagian penghasilan Wajib Pajak orang pribadi dalam negeri tersebut ke dalam bentuk biaya atau pengeluaran lainnya yang dibayarkan kepada perusahaan yang tidak didirikan dan tidak bertempat kedudukan di Indonesia tersebut.
(3e) Dihapus.
(4) Hubungan istimewa sebagaimana dimaksud pada ayat (3) sampai dengan ayat (3d), Pasal 9 ayat (1) huruf f, dan Pasal 10 ayat (1) dianggap ada apabila :
a. Wajib Pajak mempunyai penyertaan modal langsung atau tidak langsung paling rendah 25% (dua puluh lima persen) pada Wajib Pajak lain; hubungan antara Wajib Pajak dengan penyertaan paling rendah 25% (dua puluh lima persen) pada dua Wajib Pajak atau lebih; atau hubungan di antara dua Wajib Pajak atau lebih yang disebut terakhir;
b. Wajib Pajak menguasai Wajib Pajak lainnya atau dua atau lebih Wajib Pajak berada di bawah penguasaan yang sama baik langsung maupun tidak langsung; atau
c. terdapat hubungan keluarga baik sedarah maupun semenda dalam garis keturunan lurus dan/atau ke samping satu derajat.

Penjelasan Pasal 18

Pemerintah berwenang mencegah praktik penghindaran pajak sebagai upaya yang dilakukan Wajib Pajak untuk mengurangi, menghindari, atau menunda pembayaran pajak yang seharusnya terutang yang bertentangan dengan maksud dan tujuan ketentuan peraturan perundang-undangan di bidang perpajakan. Salah satu cara penghindaran pajak adalah dengan melakukan transaksi yang tidak sesuai dengan keadaan yang sebenarnya yang bertentangan dengan prinsip substance ouer form, yaitu pengakuan substansi ekonomi di atas bentuk formalnya.

Ayat (1)

Dalam menentukan batasan jumlah biaya pinjaman yang dapat dibebankan untuk tujuan perpajakan digunakan metode yang lazim diterapkan di dunia internasional, misalnya melalui metode penentuan tingkat perbandingan tertentu yang wajar mengenai besarnya perbandingan antara utang dan modal (debt to equity ratiol, melalui persentase tertentu dari biaya pinjaman dibandingkan dengan pendapatan usaha sebelum dikurangi biaya pinjaman, pajak, depresiasi dan amortisasi earnings before interest, taxes, depreciation, and amortization atau melalui metode lainnya.

Ayat (2)

Dengan makin berkembangnya ekonomi dan perdagangan internasional sejalan dengan era globalisasi dapat terjadi bahwa Wajib Pajak dalam negeri menanamkan modalnya di luar negeri. Untuk mengurangi kemungkinan penghindaran pajak, terhadap penanaman modal di luar negeri selain pada badan usaha yang menjual sahamnya di bursa efek, Menteri Keuangan berwenang untuk menentukan saat diperolehnya dividen.

Contoh:

PT A dan PT B masing-masing memiliki saham sebesar 40% (empat puluh persen) dan 20% (dua puluh persen) pada X Ltd. yang bertempat kedudukan di negara Q. Saham X Ltd. tersebut tidak diperdagangkan di bursa efek. Dalam tahun 2009 X Ltd. memperoleh laba setelah pajak sejumlah Rp1.000.000.000,00 (satu miliar rupiah).

Dalam hal demikian, Menteri Keuangan berwenang menetapkan saat diperolehnya dividen dan dasar penghitungannya.

Ayat (3)

Ketentuan ini dimaksudkan untuk mencegah terjadinya penghindaran pajak yang dapat terjadi karena adanya hubungan istimewa. Wajib Pajak melakukan penghindaran pajak dengan cara, antara lain melaporkan penghasilan kurang dari semestinya, melaporkan biaya melebihi dari semestinya, melaporkan laba usaha yang terlalu kecil dibandingkan kinerja keuangan Wajib Pajak lainnya dalam bidang usaha yang sejenis, atau melaporkan rugi usaha secara tidak wajar meskipun Wajib Pajak telah melakukan penjualan secara komersial selama 5 (lima) tahun.

Dalam hal demikian, Direktur Jenderal Pajak berwenang menentukan kembali besarnya penghasilan dan/atau biaya sesuai dengan prinsip kewajaran dan kelazirnan usaha yang tidak dipengaruhi oleh hubungan istimewa.

Yang dimaksud dengan "prinsip kewajaran dan kelaziman usaha" adalah prinsip di dalam praktik bisnis yang sehat sebagaimana berlaku di antara pihak-pihak yang tidak memiliki dan/atau dipengaruhi hubungan istimewa. Dalam menentukan kembali besarnya penghasilan dan/atau pengurangan untuk menghitung besarnya Penghasilan Kena Pajak dapat digunakan:
a.    metode perbandingan harga antarpihak yang independen (comparable uncontrolled price method) ;
b.    metode harga penjualan kembali (resale price method);
c.    metode biaya-plus (cost-plus method); atau
d.    metode lainnya, seperti:
1.    metode pembagian laba profit split methodl;
2.    metode laba bersih transaksional (transactional net margin methodl;
3.    metode perbandingan transaksi independen (comparable uncontrolled transaction method);
4.    metode dalam penilaian harta berwujud dan/atau harta tidak berwujud (tangible asset and intangible asset valuation); dan
5.    metode dalam penilaian bisnis (business valuation).

Terhadap Wajib Pajak yang melaporkan laba usaha yang terlalu kecil dibandingkan kinerja keuangan Wajib Pajak lainnya dalam bidang usaha yang sejenis atau melaporkan rugi usaha secara tidak wajar meskipun Wajib Pajak telah melakukan penjualan secara komersial selama 5 (lima) tahun, dapat diterapkan pembandingan kinerja keuangan dengan Wajib Pajak dalam kegiatan usaha yang sejenis (benchmarking) dalam rangka penghitungan pajak yang seharusnya terutang.

Demikian pula kemungkinan terdapat penyertaan modal secara terselubung, dengan menyatakan penyertaan modal tersebut sebagai utang maka Direktur Jenderal Pajak berwenang untuk menentukan utang tersebut sebagai modal perusahaan. Penentuan tersebut dapat dilakukan, misalnya melalui indikasi mengenai perbandingan antara modal dan utang yang lazim terjadi di antara para pihak yang tidak dipengaruhi oleh hubungan istimewa atau berdasarkan data atau indikasi lainnya.

Dengan demikian, bunga yang dibayarkan oleh Wajib Pajak sehubungan dengan utang yang dianggap sebagai penyertaan modal itu tidak diperbolehkan untuk dikurangkan dalam menghitung penghasilan kena pajak Wajib Pajak. Sementara itu, bagi pihak yang memiliki hubungan istimewa dengan Wajib Pajak yang menerima atau memperoleh pembayaran bunga tersebut dianggap sebagai dividen yang dikenai pajak.

Untuk selisih antara nilai transaksi yang dipengaruhi hubungan istimewa yang tidak sesuai dengan kewajaran dan kelaziman usaha dengan nilai transaksi yang dipengaruhi hubungan istimewa yang sesuai dengan kewajaran dan kelaziman usaha juga dianggap sebagai dividen yang dikenai pajak penghasilan sesuai dengan ketentuan peraturan perundang-undangan di bidang perpajakan.

Ayat (3a)

Kesepakatan harga transfer (Advance Pricing Agreement/APA) adalah kesepakatan antara Wajib Pajak dan Direktur Jenderal Pajak mengenai harga jual wajar produk yang dihasilkannya kepada pihak-pihak yang mempunyai hubungan istimewa (related parties) dengannya. Tujuan diadakannya APA adalah untuk mengurangi terjadinya praktik penyalahgunaan transfer pricing oleh perusahaan multi nasional. Persetujuan antara Wajib Pajak dan Direktur Jenderal Pajak tersebut dapat mencakup beberapa hal, antara lain harga jual produk yang dihasilkan, dan jumlah royalti dan lain-lain, tergantung pada kesepakatan. Keuntungan dari APA selain memberikan kepastian hukum dan kemudahan penghitungan pajak, fiskus tidak perlu melakukan koreksi atas harga jual dan keuntungan produk yang dijual Wajib Pajak kepada perusahaan dalam grup yang sama. APA dapat bersifat unilateral, yaitu merupakan kesepakatan antara Direktur Jenderal Pajak dengan Wajib Pajak atau bilateral, yaitu kesepakatan Direktur Jenderal Pajak dengan otoritas perpajakan negara lain yang menyangkut Wajib Pajak yang berada di wilayah yurisdiksinya.

Ayat (3b)

Ketentuan ini dimaksudkan untuk mencegah penghindaran pajak oleh Wajib Pajak yang melakukan pembelian saham/penyertaan pada suatu perusahaan Wajib Pajak dalam negeri melalui perusahaan luar negeri yang didirikan khusus untuk tujuan tersebut (special purpose company).

Ayat (3c)

Contoh:

X Ltd. yang didirikan dan berkedudukan di negara A, sebuah negara yang memberikan perlindungan pajak (tax haven country), memiliki 95% (sembilan puluh lima persen) saham PT X yang didirikan dan bertempat kedudukan di Indonesia. X Ltd. ini adalah suatu perusahaan antara (conduit company) yang didirikan dan dimiliki sepenuhnya oleh Y Co., sebuah perusahaan di negara B, dengan tujuan sebagai perusahaan antara dalam kepemilikannya atas mayoritas saham PT X.

Apabila Y Co. menjual seluruh kepemilikannya atas saham X Ltd. kepada PT Z yang merupakan Wajib Pajak dalam negeri, secara legal formal transaksi di atas merupakan pengalihan saham perusahaan luar negeri oleh Wajib Pajak luar negeri. Namun, pada hakikatnya transaksi ini merupakan pengalihan kepemilikan (saham) perseroan Wajib Pajak dalam negeri oleh Wajib Pajak luar negeri sehingga atas penghasilan dari pengalihan ini terutang Pajak Penghasilan.

Hubungan istimewa di antara Wajib Pajak dapat terjadi karena ketergantungan atau keterikatan satu dengan yang lain yang disebabkan :
a.    kepemilikan atau penyertaan modal; atau
b.    adanya penguasaan melalui manajemen atau penggunaan teknologi.
Selain karena hal-hal tersebut, hubungan istimewa di antara Wajib Pajak orang pribadi dapat pula terjadi karena adanya hubungan darah atau perkawinan.

Huruf a

Hubungan istimewa dianggap ada apabila terdapat hubungan kepemilikan yang berupa penyertaan modal sebesar 25% (dua puluh lima persen) atau lebih secara langsung ataupun tidak langsung.

Misalnya, PT A mempunyai 50% (lima puluh persen) saham PT B. Pemilikan saham oleh PT A merupakan penyertaan langsung.

Selanjutnya, apabila PT B mempunyai 50% (lima puluh persen) saham PT C, PT A sebagai pemegang saham PT B secara tidak langsung mempunyai penyertaan pada PT C sebesar 25% (dua puluh lima persen). Dalam hal demikian, antara PT A, PT B, dan PT C dianggap terdapat hubungan istimewa. Apabila PT A juga memiliki 25% (dua puluh lima persen) saham PT D, antara PT B, PT C, dan PT D dianggap terdapat hubungan istimewa.

Hubungan kepemilikan seperti di atas dapat juga terjadi antara orang pribadi dan badan.

Huruf b       

Hubungan istimewa di antara Wajib Pajak dapat juga terjadi karena penguasaan melalui manajemen atau penggunaan teknologi walaupun tidak terdapat hubungan kepemilikan.

Hubungan istimewa dianggap ada apabila satu atau lebih perusahaan berada di bawah penguasaan yang sama. Demikian juga hubungan di antara beberapa perusahaan yang berada dalam penguasaan yang sama tersebut.

Huruf c

Yang dimaksud dengan “hubungan keluarga sedarah dalam garis keturunan lurus satu derajat” adalah ayah, ibu, dan anak, sedangkan “hubungan keluarga sedarah dalam garis keturunan ke samping satu derajat” adalah saudara.

Yang dimaksud dengan “keluarga semenda dalam garis keturunan lurus satu derajat” adalah mertua dan anak tiri, sedangkan “hubungan keluarga semenda dalam garis keturunan ke samping satu derajat” adalah ipar.

CHAPTER IV HOW TO CALCULATE TAXES

Article 18 (Law No. 7 of 2021)


(1) Minister Finance has the authority to set limits the amount of borrowing costs that can be charged for purposes tax calculation based on this Law.
(2) Minister Finance authorities set the time dividends received by domestic taxpayers for participation capital in overseas business entities other than selling business entities shares on the stock exchange, with the following conditions:
a. magnitude equity capital The resident Taxpayer is at least 50% (fifty percent) of the number of shares paid up; or
b. separately together with other domestic taxpayers having equity participation minimum 50% (fifty percent) of the total paid-up shares.
(3) Director The General Tax is authorized to redefine the amount of income and deductions as well determine debt as capital to calculate the amount of income Taxable for Taxpayers who have a special relationship with Other Taxpayers in accordance with the fairness and customary business not affected by special relations using the method price comparison between independent parties, sales price method return, the cost-plus method, or some other method.

(3c) Sales or transfer of company shares between (conduit company or special purpose company) established or domiciled in a tax-sheltered country (tax haven country) which has a special relationship with the agency established or domiciled in Indonesia or permanent establishment in Indonesia can be determined as a sale or transfer of shares body established or domiciled in Indonesia or form permanent business in Indonesia.
(3d) Size income earned by the Taxpayer domestic private person from the employer who has a relationship privilege with other companies that are not established and are not domiciled in Indonesia can be determined again, in terms the employer transfers all or part of the taxpayer's income domestic individual in the form of fees or other expenses paid to companies that are not established and not domiciled in Indonesia.
(3e) Removed.
(4) Relationship special as referred to in paragraph (3) up to paragraph (3d), Article 9 paragraph (1) letter f, and Article 10 paragraph (1) is deemed to exist if:
a. Required Tax has direct or indirect capital participation of at least 25% (two twenty five percent) on other Taxpayers; relationship between taxpayers with the lowest participation of 25% (twenty five percent) in two Taxpayer or more; or relationship between two Taxpayers or more the latter;
b. Required Tax rule Other Taxpayers or two or more Taxpayers are below the same mastery either directly or indirectly; or
c. exists connection family both by blood and by descent in a straight line and/or sideways one degree.

Explanation Article 18

The government has the authority to prevent tax avoidance practices as an effort conducted by taxpayers to reduce, avoid, or delay tax payments that should be owed contrary to aims and objectives of the provisions of laws and regulations in the field taxation. One way of tax avoidance is to do transactions that are not in accordance with the actual situation contrary to the principle of substance ouer form, namely recognition economic substance above its formal form.

Paragraph (1)

In determining the limit on the amount of loan fees that can be charged For taxation purposes, the method commonly applied in Indonesia is used the international world, for example through the method of determining the level certain reasonable comparisons regarding the size of the comparison between debt and capital (debt to equity ratio, through a certain percentage of borrowing costs compared to prior operating income less borrowing costs, taxes, depreciation and amortization of earnings before interest, taxes, depreciation, and amortization or through other methods.

With the growing economy and international trade in line with the era of globalization it can happen that taxpayers in country invests abroad. To reduce the possibility tax avoidance, against foreign investment other than in business entity that sells its shares on the stock exchange, the Minister of Finance authorized to determine when dividends are received.

Example:

PT A and PT B each own 40% (forty percent) and 20% (twenty percent) in X Ltd. located in country Q. Shares X Ltd. are not traded on the stock exchange. In 2009 X Ltd. earn profit after tax amount Rp. 1,000,000,000.00 (one billion rupiah).
In such case, the Minister of Finance has the authority to determine the time dividends received and the basis for its calculation.

This provision is intended to prevent tax evasion that can occur because of a special relationship. Taxpayer do tax evasion by way of, among others reporting income less than it should be, reporting expenses in excess of should, report operating income that is too small by comparison financial performance of other Taxpayers in a similar line of business, or reporting business losses unfairly even though they are taxpayers has been selling commercially for 5 (five) years.

In such case, the Director General of Taxes has the authority to determine return the amount of income and/or expenses in accordance with the principles fairness and legality of business that are not influenced by relationships special.

What is meant by "principle of fairness and customary business" is principles in sound business practice as applicable in between parties who do not have and/or are affected by a relationship special. In re-determining the amount of income and/or deduction to calculate the amount of Taxable Income can used:
a.    price comparison method between parties the independent (comparable uncontrolled price method) ;
b.    resale price method (resale price method);
c.    cost-plus method; or
d.    other methods, such as:
1.    profit split profit sharing method methodl; 2.    transactional net profit method (transactional net margin methodl;
3.    transaction comparison method independent (comparable uncontrolled transaction method);
4.    methods in the valuation of tangible assets and/or intangible assets (tangible assets and intangible asset valuation); and
5.    methods in business valuation (business valuation).

Against Taxpayers who report business profits that are too small compared to the financial performance of other taxpayers in the line of business of a similar nature or report a business loss in an unreasonable manner Taxpayers have made commercial sales for 5 (five) year, a comparison of financial performance with Compulsory can be applied Taxes in similar business activities (benchmarking) in the framework calculation of the tax that should be owed.
Likewise, there is the possibility of covert capital participation, by declaring the equity participation as debt, the Director The General of Taxes has the authority to determine the debt as capital company. Such determination can be made, for example via an indication of the ratio between equity and debt that is common occurs between parties who are not affected by the relationship special or based on data or other indications.
Thus, the interest paid by the taxpayer in respect of with debt that is considered as capital participation it is not allowed to be deducted in calculating taxable income Taxpayer. For the difference between transaction values that are affected by a special relationship which is inconsistent with the fairness and customary business value transactions subject to related special relationships fairness and customary business are also considered as dividends subject to income tax in accordance with regulatory provisions legislation in the field of taxation.

Paragraph (3a)

The transfer price agreement (Advance Pricing Agreement/APA) is agreement between the Taxpayer and the Director General of Taxes regarding the fair selling price of the products it produces to the parties concerned has a special relationship (related parties) with it. Objective holding APA is to reduce the occurrence of practices misuse of transfer pricing by multinational companies. Approval between the Taxpayer and the Director General of Taxes can include several things, including the selling price of the product generated, and the amount of royalties and others, depending on agreement. The advantages of APA apart from providing legal certainty and the ease of calculating taxes, the tax authorities do not need to make corrections selling price and product profit sold by the Taxpayer to companies in the same group. APA can be unilateral, ie is an agreement between the Director General of Taxes and the Taxpayer or bilateral, namely the agreement of the Director General of Taxes with the taxation authority of another country concerning the resident Taxpayer in its jurisdiction.

This provision is intended to prevent tax evasion by the Compulsory Taxes that buy shares/participation in a company Domestic Taxpayers through established foreign companies specifically for that purpose (special purpose company).

Example:

X Ltd. established and domiciled in country A, a country that provide tax protection (tax haven country), own 95% (ninety five percent) shares of PT X which was established and domiciled position in Indonesia. X Ltd. this is an intermediate company (conduit company) which was founded and wholly owned by Y Co., a company in country B, with the aim of being an intermediate company in its ownership of the majority shares of PT X.

When Y Co. sold all of its shares in X Ltd. to PT Z which is a domestic taxpayer, legally formal the above transaction constitutes the transfer of shares of a foreign company by foreign taxpayers. However, in essence this transaction constitutes a transfer of ownership (shares) of a Taxpayer company in country by foreign taxpayers so that on income from this transfer is subject to Income Tax.

A special relationship between taxpayers can occur because dependency or attachment to one another caused by: a.    ownership or equity participation; or
b.    mastery through management or use of technology.
Apart from these things, the special relationship between taxpayers individual person can also occur because of blood relations or marriage.

Letter a

A special relationship is considered to exist if there is an ownership relationship in the form of equity participation of 25% (twenty five percent) or more directly or indirectly.

For example, PT A owns 50% (fifty percent) of PT B's shares. Ownership shares by PT A are direct investment.

Furthermore, if PT B owns 50% (fifty percent) of PT C shares, PT A as a shareholder of PT B indirectly owns participation in PT C by 25% (twenty five percent). In terms of Thus, PT A, PT B, and PT C are considered to have a relationship special. If PT A also owns 25% (twenty five percent) shares PT D, between PT B, PT C, and PT D are considered to have a special relationship.

Ownership relationships like the above can also occur between people personal and body.

A special relationship is deemed to exist if one or more companies are under the same control. So is the relationship between several companies that are under the same control.
